Referral Agreement
1. Purpose
The purpose of this Agreement is to define the terms under which the Partner will refer potential customers (“Referrals”) to Qoos in exchange for referral fees.
2. Referral Process
2.1 Submission: The Partner will submit Referrals to Qoos via the Qoos Partner Portal (Kiflo).
2.2 Approval: Qoos reserves the right to approve or reject any Referral at its sole discretion. Approval will be communicated to the Partner within 10 business days.
2.3 Tracking: Qoos will provide tracking mechanisms to ensure accurate attribution of Referrals.
3. Referral Fee
3.1 Fee Amount: The Partner will earn a the following referral fees collected from an Approved Referral.

3.2 Payment: Referral fees will be paid within 30 days of Qoos receiving payment from the Approved Referral.
3.3 Eligibility: No referral fee will be due if the Referral was already a customer or previously engaged with Qoos.
4. Obligations of the Partner
4.1 Marketing: The Partner agrees to market and promote Qoos’ services ethically and in compliance with applicable laws.
4.2 No Binding Authority: The Partner is not authorized to bind Qoos to any agreement or make representations on behalf of Qoos.
5. Confidentiality
The Parties agree to maintain the confidentiality of all proprietary information exchanged under this Agreement. Neither Party will disclose such information to third parties without prior written consent.
6. Independent Contractor Relationship
The Parties agree that this Agreement creates an independent contractor relationship. Nothing herein constitutes a partnership, joint venture, or employment relationship.
7. Limitation of Liability
To the maximum extent permitted by law, Qoos’ total liability under this Agreement will not exceed the total referral fees paid to the Partner in the preceding 12 months.
8. Termination
8.1 Termination for Convenience: Either Party may terminate this Agreement upon 30 days’ written notice.
8.2 Termination for Cause: Either Party may terminate this Agreement immediately upon breach by the other Party.
8.3 Post-Termination: Referral fees for Referrals approved before termination will remain payable.
9. Miscellaneous
9.1 Governing Law: This Agreement will be governed by the laws of Victoria, Australia .
9.2 Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
